End User License Agreement
END-USER LICENSE AGREEMENT

This End-User License Agreement ("Agreement") is entered into between GGLR Accounting ("Licensor"), a business operating in the Province of Ontario, Canada, and the end-user ("Licensee") accessing or using the GGLR Accounting workflow automation platform ("Software").
1. Grant of License
GGLR Accounting grants Licensee a limited, non-exclusive, non-transferable, revocable license to use the Software solely for Licensee's internal accounting and tax preparation business operations in Canada. This license does not permit:

Resale, sublicensing, or redistribution of the Software

Modification or reverse engineering of the Software
-
Access by third parties except authorized employees or agents acting on Licensee's behalf
-
Use in jurisdictions other than Canada without express written consent
2. Acceptable Use and Restrictions
Licensee agrees to use the Software only in compliance with:

All applicable Canadian federal, provincial, and municipal laws
-
The Personal Information Protection and Electronic Documents Act (PIPEDA)
-
The Consumer Protection Act, 2002 (S.O. 2002, c. 30, Sched. A) where applicable
-
The Electronic Commerce Act, 2000 (S.O. 2000, c. 17)
-
The QuickBooks Online Terms of Service and Intuit Developer Terms of Service
-
All tax authority regulations (Canada Revenue Agency, provincial tax authorities)
Licensee shall not use the Software to:

Create unauthorized invoices, financial statements, or tax documents
-
Process personal information in violation of privacy laws
-
Facilitate tax evasion, fraud, or money laundering
-
Interfere with the normal operation of the Software or connected services
-
Circumvent licensing restrictions or authentication mechanisms
3. Data and Intellectual Property
3.1 Licensee Data
Licensee retains all rights to financial and client data ("Licensee Data") entered into the Software. GGLR Accounting does not claim ownership of Licensee Data except as necessary to provide the Software services.
3.2 Software Ownership
All code, algorithms, documentation, and designs comprising the Software remain the exclusive property of GGLR Accounting. Licensee obtains no rights to the Software beyond this limited license.
3.3 Feedback
GGLR Accounting may use any feedback, suggestions, or improvement requests Licensee provides without obligation to Licensee.
4. Data Security and Privacy Obligations
Licensee acknowledges that the Software processes sensitive financial and personal information. Licensee agrees to:

Maintain administrative and access controls to prevent unauthorized use

Notify GGLR Accounting immediately of any suspected data breach or unauthorized access

Comply with PIPEDA and applicable Ontario privacy laws regarding client personal information

Not store passwords in plain text or share login credentials

Maintain up-to-date security patches for devices running the Software
GGLR Accounting shall implement industry-standard security measures to protect Licensee Data, including encryption in transit and at rest. However, GGLR Accounting cannot guarantee absolute security and is not liable for breaches arising from Licensee's failure to follow security practices.
5. Limitation of Liability
EXCEPT AS PROHIBITED BY LAW, THE SOFTWARE IS PROVIDED "AS-IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED UNDER ONTARIO CONSUMER PROTECTION ACT AND CANADIAN LAW, GGLR ACCOUNTING SHALL NOT BE LIABLE FOR:

Lost profits, data loss, or business interruption

Indirect, incidental, special, or consequential damages
-
Errors in calculations, tax positions, or financial reporting (Licensee remains responsible for reviewing output)

Third-party service failures (QuickBooks Online, email providers, payment processors)
-
Any damages exceeding the total fees paid by Licensee in the 12 months preceding the claim
This limitation applies even if GGLR Accounting has been advised of the possibility of such damages.
6. Professional Responsibility
Licensee acknowledges that:

The Software is a tool to assist in accounting work; it does not replace professional judgment or review

GGLR Accounting does not provide tax or accounting advice; Licensee remains responsible for all tax positions and financial reporting

Licensee (or the Licensee's accountant) must review all output before submitting to tax authorities, clients, or financial institutions

GGLR Accounting is not liable for tax penalties, reassessments, or client claims arising from errors in Licensee's use of the Software
7. Term and Termination
7.1 Term
This Agreement remains in effect as long as Licensee uses the Software.
7.2 Termination by GGLR Accounting
GGLR Accounting may terminate or suspend this license immediately if:

Licensee violates any material term of this Agreement

Licensee's use endangers the security of the Software or other users

Licensee breaches PIPEDA, tax laws, or other applicable regulations
-
Required by law or regulatory order
7.3 Termination by Licensee
Licensee may terminate by discontinuing use of the Software. Upon termination, Licensee's right to use the Software ceases immediately.
7.4 Effect of Termination
Upon termination, Licensee shall:

Cease all use of the Software

Delete all copies of the Software not stored by GGLR Accounting
-
Request deletion of Licensee Data if desired (subject to legal retention requirements)
Provisions on data ownership, liability, and indemnification survive termination.
8. Indemnification
Licensee agrees to defend, indemnify, and hold harmless GGLR Accounting, its officers, employees, and agents from any third-party claims arising from:

Licensee's use of the Software in violation of this Agreement

Licensee's violation of tax laws or financial regulations
-
Licensee's unauthorized disclosure of client data
-
Licensee Data containing inaccurate, fraudulent, or illegal content
9. Updates and Changes
GGLR Accounting may update the Software, terms of this Agreement, or supported integrations (e.g., QuickBooks Online API changes) at any time. Material changes to restrictions or pricing (if applicable) will be provided with reasonable notice. Continued use constitutes acceptance of updates.
10. Consumer Protection and Online Agreements
If you are an individual consumer located in Ontario, certain provisions of Ontario's Consumer Protection Act, 2002 may apply to this Agreement and, where they do, they prevail over any inconsistent term. You have the opportunity to review, accept, or decline this Agreement before first use. Upon acceptance, a copy of this Agreement will be made available to you for future reference via email or through the Service.
11. Dispute Resolution and Governing Law
This Agreement is governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law rules. Any disputes shall first be addressed through good-faith negotiation. If unresolved, disputes shall be subject to the exclusive jurisdiction of the courts of Ontario, sitting in Toronto, Ontario. By using the Software, Licensee consents to these courts' jurisdiction and waives any objection based on inconvenient forum.
12. Severability
If any provision of this Agreement is found unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remainder of the Agreement shall remain in full force.
